  1. Acceptance of Terms
    By accessing, browsing, reading, or subscribing to GENM, the GenM Terminal, or related services (collectively, the "Service"), operated by Zemria LLC ("Company," "we," "us," or "our"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue all access and use of the Service.
  2. Scope of Service & Publisher Exclusion
    GENM is an independent digital publishing and research platform. The Service delivers general, impersonal quantitative frameworks, macroeconomic modeling, infrastructure forensics, and editorial research.
    Zemria LLC is not a registered investment adviser, broker-dealer, commodity trading advisor, legal counsel, or engineering consultancy. Content provided via the Service does not constitute individualized financial, investment, legal, tax, or operational advice.
  3. User Eligibility & Account Responsibilities
    Access is restricted to individuals at least eighteen (18) years of age who have the legal capacity to enter into binding agreements.
    If you create an account or subscribe to the GenM Terminal:
    • You must provide accurate, current, and complete registration information.
    • You are solely responsible for maintaining the confidentiality of your credentials.
    • Subscriptions grant a single, individual, non-transferable seat. Credential sharing, organizational pooling, or multi-user access under a single account is strictly prohibited without an explicit multi-seat enterprise agreement.
    • You agree to immediately notify Zemria LLC of any unauthorized account access.
  4. Intellectual Property & Prohibited Uses
    All proprietary indicators, scoring models, diagnostic signals, research dispatches, code, databases, graphics, and architectural frameworks are the sole property of Zemria LLC or its licensors and are protected under United States and international intellectual property laws.
    You may not:
    • Reproduce, republish, syndicate, sell, sublicense, or redistribute Service content without express prior written consent.
    • Use automated scripts, spiders, scrapers, crawlers, or extraction tools to harvest data, models, or text from the Service.
    • Ingest, process, or utilize GENM data, models, or research to train, validate, fine-tune, or populate any artificial intelligence, machine learning, large language model, or competing commercial data service.
    • Circumvent, disable, or tamper with security controls, firewalls, or paywalls protecting restricted Terminal tiers.
  5. Subscription Terms & Billing
    If you purchase a subscription to the GenM Terminal or other premium dispatches:
    • Billing Frequency: Subscription fees are billed in advance on a recurring monthly or annual basis to the payment method provided.
    • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle at the then-current rate unless canceled prior to the renewal date.
    • Cancellation: You may cancel your subscription at any time via your account settings dashboard or by contacting billing support. Cancellations take effect at the conclusion of the current pre-paid cycle. No partial or prorated refunds are provided for unused portions of a billing term.
    • Price Modifications: Zemria LLC reserves the right to modify subscription pricing upon reasonable advance notice. Continued use following a price change constitutes acceptance.
  6. Disclaimers & Warranty Exclusions
    The Service is provided strictly on an "as-is" and "as-available" basis. Zemria LLC disclaims all warranties of any kind, whether express, statutory, or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
    We do not warrant that the Service will be uninterrupted, error-free, timely, or secure, or that analytical models or risk signals will accurately identify or forecast any future event or outcome.
  7. Limitation of Liability
    To the maximum extent permitted by applicable law, Zemria LLC and its officers, directors, employees, analysts, affiliates, and contractors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of data, portfolio losses, operational disruption, or capital expenditure losses resulting from your use of or inability to use the Service.
    In all events, the aggregate cumulative liability of Zemria LLC arising from or relating to the Service shall not exceed the total fees paid by you to GENM during the twelve (12) months preceding the incident, or $100 if no fees were paid.
  8. Indemnification
    You agree to defend, indemnify, and hold harmless Zemria LLC, its officers, members, employees, and analysts from any third-party claims, liabilities, damages, losses, and legal expenses arising out of: (a) your violation of these Terms; (b) your unauthorized reproduction, scraping, or redistribution of GENM intelligence; or (c) any unlawful conduct attributable to your account.
  9. Governing Law & Forum
    These Terms and all matters arising out of your use of the Service are governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict-of-law doctrines. Exclusive jurisdiction and venue for any judicial proceedings properly brought shall lie in the state and federal courts located in Lancaster County, Nebraska.
  10. Termination
    Zemria LLC reserves the right, without liability and without prior notice, to immediately suspend or terminate your account or access to the Service for violation of these Terms, unauthorized scraping, credential sharing, security interference, or non-payment.
