Terminal Access Gate Agreement

GenM Terminal Access Agreement & Institutional Risk Notice
Before accessing GenM Terminal research and analytical tools, you must review and accept the following terms.

1. Eligibility
   The GenM Terminal is intended for individuals eighteen years of age or older and only in jurisdictions where access to the service is lawful.
   By accessing the Terminal, you represent that you satisfy these requirements.
2. Publisher — No Fiduciary or Advisory Relationship
   GENM is an independent research and publishing platform operated by Zemria LLC.
   Neither GENM nor Zemria LLC is acting through the GenM Terminal as a registered investment adviser, broker-dealer, commodity trading advisor, financial planner, or provider of legal, accounting, engineering, security, or other regulated professional advisory services.
   GENM does not provide individualized recommendations based upon a subscriber's financial circumstances, portfolio, objectives, risk tolerance, or other individual circumstances.
   No fiduciary, advisory, professional, agency, consulting, or client relationship is created by subscribing to or using the GenM Terminal.
   GENM's research, editorial, and analytical staff and contributors are not required to hold professional licenses, certifications, or credentials in finance, investing, law, accounting, or related fields, and GENM does not represent that its authors or contributors are licensed financial professionals.
3. Independent Decision-Making
   GenM Terminal materials are intended solely for general informational, educational, research, and analytical purposes.
   Users remain solely responsible for their research, independent verification, due diligence, professional consultation, decisions, actions, allocations, investments, transactions, and operational interventions.
4. Data & Analytical Limitations
   The GenM Terminal may incorporate third-party data and information that may be delayed, revised, corrected, incomplete, inaccurate, incorrectly transmitted, or unavailable.
   Models, indicators, thresholds, signals, forecasts, alerts, visualizations, and other analytics involve assumptions, calculations, methodologies, data selections, and interpretations and may contain errors.
   GENM does not warrant the accuracy, completeness, timeliness, availability, or predictive value of any data or analytical output.
5. No Predictive Guarantee
   Past relationships, historical correlations, previous model performance, trends, thresholds, signals, scenarios, and forecasts do not guarantee future conditions or outcomes.
   GENM cannot and does not guarantee that systemic risks, financial events, geopolitical developments, governmental actions, infrastructure disruptions, market movements, or other events will be identified, predicted, detected, or communicated before they occur.
6. Signals, Alerts & Risk Terminology
   GENM terminology including "signal," "alert," "warning," "risk," "threshold," "diagnostic," and similar terminology represents analytical classifications and does not constitute personalized investment advice, professional warning, trading instruction, governmental or security warning, prediction, guarantee, or recommendation.
   The existence of a signal or alert does not establish that an event will occur.
   The absence of a GENM signal or alert does not establish that an event will not occur or that risk is absent.
7. Automated & AI-Assisted Systems
   GENM may employ software, algorithms, statistical systems, automated processes, and artificial-intelligence-assisted tools in its research, analysis, data-processing, visualization, editorial, and publishing workflows.
   Such systems may produce errors, omissions, incorrect calculations, inaccurate classifications, unsupported outputs, or other unintended results.
   Human editorial review does not guarantee that all errors or inaccuracies will be identified.
   Users remain responsible for independently verifying information before using it in consequential decision-making.
8. No Duty to Update, Detect or Warn
   Unless required by applicable law, GENM assumes no continuing obligation to update, correct, supplement, withdraw, republish, or provide notification concerning previously published analysis.
   Subscription to the GenM Terminal does not create a duty by GENM or Zemria LLC to identify, predict, detect, communicate, publish, or warn any subscriber or other person regarding any particular risk, event, development, condition, or potential loss.
9. Proprietary Rights & Authorized Use
   GenM Terminal content, proprietary analytical frameworks, indicators, classifications, scoring systems, original research, editorial architecture, and other protected materials remain the intellectual property of Zemria LLC or their respective licensors, as applicable.
   Except as expressly permitted by applicable subscription terms, written authorization, or applicable law, unauthorized reproduction, redistribution, republication, syndication, resale, systematic extraction, automated scraping, credential sharing, circumvention of access controls, or use of GenM Terminal content to create, train, enhance, or populate competing commercial products, services, models, databases, or datasets is prohibited.
10. Service Availability & Force Majeure
    GENM does not guarantee continuous or uninterrupted availability of the GenM Terminal, underlying data, models, alerts, publications, communications, or functionality.
    Services may be delayed, changed, suspended, interrupted, or discontinued, including as a result of third-party data-provider outages, cyberattacks, infrastructure failures, governmental actions, telecommunications failures, or other circumstances beyond Zemria LLC's reasonable control.
11. "As-Is" Access & Disclaimer of Warranties
    The GenM Terminal and all associated content, data, analytics, tools, and services are provided "as-is" and "as-available."
    To the fullest extent permitted by applicable law, Zemria LLC disclaims all express, statutory, and implied warranties, including warranties regarding accuracy, completeness, timeliness, reliability, availability, merchantability, fitness for a particular purpose, title, and non-infringement.
12. User Conduct & Indemnification
    Users may not unlawfully access or use the GenM Terminal, circumvent access controls, share restricted credentials, engage in unauthorized scraping or automated extraction, misrepresent GENM materials, or reproduce, redistribute, republish, syndicate, resell, or commercially exploit protected Terminal content except as expressly authorized.
    To the fullest extent permitted by applicable law, the user agrees to indemnify, defend, and hold harmless Zemria LLC and its owners, officers, directors, employees, contractors, contributors, analysts, and affiliates against third-party claims, liabilities, damages, losses, and reasonable costs and attorneys' fees arising from the user's unlawful conduct, violation of this agreement, unauthorized exploitation of GENM materials, infringement or misuse of another party's rights, or other misconduct attributable to the user.
13. Limitation of Liability
    To the fullest extent permitted by applicable law, Zemria LLC and its owners, officers, directors, employees, contractors, contributors, analysts, affiliates, licensors, and service providers shall not be liable for direct, indirect, incidental, special, exemplary, consequential, punitive, operational, trading, investment, economic, business, reputational, data-related, or other damages arising from or relating to use of or reliance upon the GenM Terminal.
    This includes losses arising from data errors, model errors, omissions, delays, signals, alerts, forecasts, third-party information, technological failures, service interruptions, decisions based upon GENM materials, or failure to take action.
    Nothing in this provision excludes or limits liability that cannot lawfully be excluded or limited.
    To the fullest extent permitted by applicable law, Zemria LLC's aggregate liability arising from or relating to a user's GenM Terminal subscription or use shall not exceed the amount actually paid by that user to GENM during the twelve months immediately preceding the event giving rise to the claim, or $100 if no amount was paid, subject to rights or remedies that cannot legally be excluded or limited.
14. Dispute Resolution & Governing Procedure
    Disputes arising from or relating to the GenM Terminal shall be handled in accordance with the governing law and venue provisions herein. Any formal alternative dispute resolution mechanisms, including binding arbitration and any related waiver of jury trial or class proceedings, will be implemented only as expressly detailed in finalized terms approved by Zemria LLC and presented to users as applicable.
15. Suspension & Termination
    Zemria LLC may suspend, restrict, or terminate access to the GenM Terminal, subject to applicable law and applicable subscription terms, for violation of this agreement, unauthorized redistribution, credential sharing, scraping, circumvention of access controls, fraudulent or unlawful conduct, security threats, or misuse of the service.
    Zemria LLC may modify, suspend, or discontinue all or part of the Terminal subject to applicable contractual obligations and applicable law.
16. Governing Law & Venue
    To the fullest extent permitted by applicable law and subject to any separately valid arbitration agreement, this agreement and disputes arising from or relating to the GenM Terminal shall be governed by the laws of the State of Nebraska, without regard to conflict-of-law principles.
    Subject to applicable rights that cannot lawfully be waived and any valid arbitration agreement, exclusive jurisdiction and venue for matters properly brought in court shall lie in the applicable state and federal courts located in Lancaster County, Nebraska.
17. General Provisions
    If any provision of this agreement is determined to be unlawful or unenforceable, it shall be limited, modified, or severed to the minimum extent necessary, and the remaining provisions shall remain in effect to the extent permitted by law.
    No failure by Zemria LLC to enforce a provision constitutes a waiver of that provision.
    Zemria LLC may modify this agreement from time to time. Changes will be identified by an updated version number and effective date. Material changes may require renewed affirmative acceptance before continued access to the GenM Terminal where required by applicable law or determined appropriate by Zemria LLC.
18. Complete Terms
    Use of the GenM Terminal is additionally governed by GENM's applicable Terms of Service, Subscription Terms, Privacy Policy, Institutional Risk Notice, and Methodology Disclosures, which are incorporated into this agreement as applicable.
